LEGAL CONDITIONS FOR THE ONLINE PURCHASE OF TICKETS FOR THE FC BARCELONA MUSEUM AND OTHER ACCESSORY PRODUCTS THROUGH FUTBOL CLUB BARCELONA’S WEBSITE AND APP

1. WEBSITE AND APP OWNERS
In compliance with Law 34/2002, of 11 July, on Information Society and Electronic Commerce Services (LSSICE), users are hereby informed that ownership of both the website https://buy-tickets.fcbarcelona.com (hereinafter the WEBSITE) as well as the BARÇA application (hereinafter, “BARÇA APP” or “Application”) is held by Futbol Club Barcelona (hereinafter, FC BARCELONA or CLUB), with its registered office at calle Arístides Maillol, s/n, 08028 Barcelona, with NIF [Tax ID] number G-08.266.298, and registered in the Register of Sports Entities of the Generalitat de Catalunya, as a sports club, with the number 2.590, Volume 2, Page 295, of the Registry Book of sporting entities.

2. GENERAL CONDITIONS OF USE OF THE WEBSITE AND/OR APP
2.1. The purpose of these conditions of sale (hereinafter, the “Conditions”) is to establish the terms and conditions of how to purchase tickets by users who proceed to acquire them via this channel, as well as the rights and obligations inherent to the ticket(s) being purchased, including the conditions of access and use of these tickets.
2.2. Purchasers who access the FC BARCELONA WEBSITE or app and, specifically, this section on the sale of tickets, voluntarily assume and undertake to respect the terms and conditions to which they are subject, and which are detailed below.
2.3. From the moment the user completes the purchase order for one or more tickets, they will be called “PURCHASER”, being bound as such to FC BARCELONA, which will hold the status of seller. Any purchase made online by the PURCHASER, and which has been received by FC BARCELONA and confirmed by email is contractually binding.
2.4 The PURCHASER declares that they have the necessary legal capacity to act and contract through the website, where they must correctly and completely complete the data requested, and undertake not to enter third-party data. The receipt of the purchase order will be confirmed by the Club, by email or by other means without delay, and from that moment the purchase and sale will be concluded and both parties will be obliged to comply with what was agreed.
2.5. In the case of a minor User, that is, one under eighteen years of age, the carrying out of each and every one of the actions that may be carried out through the WEBSITE and/or the Application must be supervised and shall be understood to be carried out by the person who legally represents them.
3. SPECIFIC TERMS AND CONDITIONS GOVERNING THE PURCHASE OF TICKETS THROUGH THIS WEBSITE and/or APP:
The acquisition of the ticket(s) represents the PURCHASER’s acceptance of the following general terms and conditions:
3.1.- Currently and due to the works at Spotify Camp Nou, the “BARÇA IMMERSIVE TOUR” is the only museum tour available.
3.2- The number of tickets and the price shall be chosen by the PURCHASER during the purchasing process and may not be modified once established.
3.3- The purchase of tickets through the official website of FC BARCELONA or the App has two different services for delivering tickets to the buyer:
i) Home ticket printing service. Upon completion of the purchase process, the PURCHASER will receive a PDF file to their email address containing the tickets to print. Passbook entries may be downloaded to a mobile phone using the same email.
ii) Storage of the ticket on the FC BARCELONA APP menu and which you can access by clicking on the “MY TICKETS” option in the APP itself.
In exceptional situations, for technical and/or security reasons, the ticket printing service or APP may be disabled. In this case, the PURCHASER must appear at the Club’s ticket office at least one (1) hour prior to the event. To proceed with its collection, the PURCHASER must submit the following documents:
- The PURCHASE REFERENCE number.
- The credit/debit card with which you made the purchase.
- The ID/passport of the holder of said credit/debit card.
In the case of pickup by a third person other than the PURCHASER, the PURCHASER must submit the PURCHASE REFERENCE, the original DNI of the PURCHASER and an original signed authorisation from the PURCHASER for the ticket(s) to be picked-up by that third person, in addition to providing a photocopy of the DNI or official document accrediting the PURCHASER and the person who proceeds with the pickup.
3.4 Once the ticket(s) has/have been purchased, it/they cannot be exchanged for another one and the amount cannot be refunded.
The PURCHASER’s inability to attend the Barça Immersive Tour throughout the effective period of the ticket, for reasons beyond the control of FC BARCELONA and/or any error in making the purchase, will not be valid reasons for requesting a refund of the amount of the tickets.
Date or time changes to the current MUSEUM or BARÇA IMMERSIVE TOUR tickets cost:
• Non-guided tours: €10 per ticket
You can ask to change your ticket up to 6 days after the date of your purchase. Changes will not be accepted after this time. Changes must be requested at the ticket office on the day of the tour.
We can only apply the change if you have purchased your tickets through the official FC Barcelona website (www.fcbarcelona.com) or through our group form.
Only UNUSED tickets with a starting date between 1 January and 31 December of this year can be changed.
3.5 FC BARCELONA reserves the right to alter or modify the times and tours of the BARÇA IMMERSIVE TOUR following the guidelines of the regulatory body of the various competitions held in the facilities of FC Barcelona.
3.6 FC BARCELONA offers various types of discounts and promotions for the purchase of tickets throughout the season through its website, App, social media profile and/or any other official Club communication channel. Promotions and/or discounts are subject, in all cases, to the specific terms and conditions indicated in each of them and, in no case are they cumulative with each other. In addition, the terms and conditions of purchase of tickets described in these legal conditions shall apply to any discount and/or promotion.
4. ADDITIONAL CONDITIONS FOR THE PURCHASE OF SPECIFIC PRODUCTS:
4.1 "CIUTAT ESPORTIVA JOAN GAMPER TOUR"
The rules set out in this section will only apply to you if you have purchased this specific product:
"CIUTAT ESPORTIVA JOAN GAMPER TOUR" - The purchase of tickets for this product includes:
4.1.1 Through the Website and the App, the BUYER can purchase the exclusive visit service called “CIUTAT ESPORTIVA JOAN GAMPER TOUR”; this type of visit has a number of special features:

The Tour dates and times are subject to the availability of the Ciutat Esportiva itself, so no modification or alteration of the schedule planned for the visits is permitted. Furthermore, these visits do not take place on a regular timetable, they are only scheduled and organised by FC BARCELONA on the days and times when the facilities are available to visit.

The reservation made by each BUYER through the Website is subject, in addition to these specific conditions, to the general conditions and, therefore, all of these conditions are applicable.
4.1.2. Information on the acquired event.
All the information necessary to enjoy the event is detailed in the product description that appears both on the Website and in the confirmation e-mail that will be sent to you by FC BARCELONA. This e-mail will detail: the meeting point, the date and the time when you should be picked up by the transportation service.
FC BARCELONA will provide the BUYER by e-mail with proof of purchase or a reservation voucher for the contracted service so that the BUYER can present it to the accredited personnel for the purposes of validating their ticket and being able to access the purchased Tour.
The BUYER must be punctual and appear at the meeting point at the time and date indicated on their voucher, since the event is scheduled to start at a specific time and it is not possible to modify the start time.
Remember that the bus will be at the pick-up point and the maximum waiting time will be 15 minutes. After that time, the bus will leave for its destination and the BUYER will lose his or her right to participate in the activity, without having the right to the refund of any amount. The round trip transfer is included in the service and except under verifiable circumstances due to force majeure that makes said transfer impossible, it is mandatory for the BUYER to use this service; as a result, access to the Ciutat Esportiva facility and the guided tour may be denied to anyone who does not use this means of transport. Keep in mind that the transport is part of the contracted experience and also guarantees the safety and control of all participants.
4.1.3 Complementary Transport Information:
There are no extra charges for luggage: The prices established on the FC BARCELONA Website are final and do not have any supplement for carrying luggage, as long as it can fit in the reserved vehicle. The price indicated on the Website is per person.
Private service: The transfer service offered by FC BARCELONA is private, so the vehicle can only be used by the BUYER and those who have contracted this service.
Vehicle seats: The number of seats indicated on the Website is the maximum number of people who can travel in the vehicle, besides the driver. Please note that children occupy a space just like adults.
Responsibility for the transfers: Notwithstanding the provisions established under Point 5.5., the BUYER understands and accepts that this service is carried out through the transport company specifically designated by FC BARCELONA for the provision of said transport service, with it being the only party responsible for the transfers to the Ciutat Esportiva, thus making FC BARCELONA exempt from any liability derived from these transfers.
Not suitable for children under 2 years of age: For reasons of safety in transport, children under 2 years old are NOT allowed on the tour.
4.1.4. Cancellation policy.
In compliance with the provisions of both Directive 2011/83 of the European Union, and Article 103 of Law 3/2014, of 27 March, which modifies the consolidated text of the General Law for the Defence of Consumers and Users and other complementary laws, approved by Royal Legislative Decree 1/2007, of 16 November, the acquisition of the CIUTAT ESPORTIVA JOAN GAMPER TOUR Product is a recreational activity scheduled with a specific date and time, so it is expressly excluded from the right of withdrawal by consumers and users.
4.1.5.- Liability disclaimer
Notwithstanding the above, FC BARCELONA wishes to expressly state for the record that it will not be liable to the BUYER for:

The missing of flights, trains, buses or any other means of transportation, as a consequence of the duration of the event being extended for any reason. The BUYER is solely responsible for knowing the departure time of his/her flight/train/bus and matching it with the timetable of the indicated event.

The loss, for any reason, of luggage or personal belongings that may have been deposited in the transport vehicle, given that the company in charge of transport is responsible for any incident that might occur inside the vehicle.
4.1.6 Express prohibition on image capture
Neither the BUYER nor any of the accompanying persons may capture images of any kind and therefore may not use, publish or/or disseminate photographs for promotional or any other purposes.
Unless expressly authorised by the guides responsible for the visit, the taking of photographs in which FC BARCELONA workers appear (employees, technical staff, players, etc.) is strictly prohibited and may be grounds for expulsion from the facilities.
4.1.7 Rules of Conduct
Under all circumstances, the rules of conduct detailed in Section 7 of these General Conditions will apply to this product.
4.2. “ESTADI OLÍMPIC MATCH DAY TOUR”
The rules set out in this section will only apply to you if you have purchased this specific product:
" MATCH DAY TOUR ESTADI OLÍMPIC " - Tickets for this product include:
- Entry on a guided Corporate Tour of the Olympic Stadium and Facilities in a group of up to 25 people.
- Tickets for a visit on the FC BARCELONA Immersive Tour around the FC BARCELONA facilities on calle Arístides Maillol in Barcelona.
4.2.1. BUYERS can purchase the “ESTADI OLÍMPIC MATCH DAY TOUR” exclusive visit service through the Website and the App; this type of visit has a number of special features:
A) Tours are scheduled to take place on dates and times when La Liga football matches are not being played and therefore the timetables cannot be changed. What's more, these tours are not held on a regular basis, but are only scheduled and organised by FC BARCELONA on the days and at the times that are possible.
B) In addition to these specific conditions, reservations made by each BUYER through the Website are subject to the general conditions and, therefore, all of these conditions apply.
4.2.2. Information on the event.
All the information necessary to enjoy the event is provided in the product description that appears both on the Website and in the confirmation email that will be sent to you by FC BARCELONA. This email will include the meeting point and the date and time when you will be picked up by the transport service.
FC BARCELONA will send BUYERS an email with proof of purchase or a reservation voucher for the service for them to show to the accredited personnel for the purposes of validating their ticket and being able to go on the purchased Tour.
BUYERS must be punctual and be at the meeting point at the time and date indicated on their voucher, since the event is scheduled to start at a specific time and start times cannot be changed.
4.2.3. Cancellation policy.
In compliance with the provisions of both Directive 2011/83 of the European Union and Article 103 of Act 3/2014 of 27 March, which amends the consolidated text of the General Consumer and User Protection Act and other complementary laws, approved by Royal Legislative Decree 1/2007 of 16 November, the MATCH DAY TOUR ESTADI OLÍMPIC is a recreational activity scheduled with a specific date and time, and so expressly excludes consumers and users' right of withdrawal.
4.2.4.- Liability disclaimer
Notwithstanding the above, FC BARCELONA wishes to expressly state for the record that it will not be liable to the BUYER for:
- Delays or errors committed by the BUYER related to arrival at the event meeting point on the date and time specifically chosen from among those available.
- Cases in which the guide/driver denies the BUYER access to the event when the BUYER does not have the corresponding voucher printed on paper and/or downloaded on a mobile phone.
- Any damages that the BUYER may suffer during the transfer and that will correspond in all cases to the bus company hired specifically to carry out the transportation service.
- The missing of flights, trains, buses or any other means of transportation, as a consequence of the duration of the event being extended for any reason. The BUYER is solely responsible for knowing the departure time of his/her flight/train/bus and matching it with the timetable of the indicated event.
- The loss, for any reason, of luggage or personal belongings that may have been deposited in the transport vehicle, given that the company in charge of transport is responsible for any incident that might occur inside the vehicle.
4.2.6 Express prohibition on image capture
Neither the BUYER nor any of the accompanying persons may capture images of any kind and therefore may not use, publish or/or disseminate photographs for promotional or any other purposes.

5. SPECIFIC CONDITIONS GOVERNING THE PURCHASE AND SALE OF TICKETS FOR THE BARÇA SKY TOUR PRODUCT:
The purchase of the ticket(s) represents the acceptance by the PURCHASER of the following general terms and conditions:
5.1. The purchase of the BARÇA SKY TOUR product includes:
- Round trip transfer by Bus Nàutic to Barcelona heliport.
- Aerial tour over Barça icons: Spotify Camp Nou, Ciutat Esportiva Joan Gamper, Estadi Olímpic Lluís Companys.
- Ticket to the Museum + Audioguide
- Ticket to the construction site viewpoint
- Souvenir video of the helicopter visit
- Barça gift (to be chosen by FC BARCELONA based on availability)
5.2. The number of tickets and the price will be chosen by the PURCHASER during the purchase process and may not be modified once it has been finalised. (subject to availability)
5.3. Tickets are purchased for a specific date and time slot. The time slots are 4 hours long, and the flight can be scheduled for any time within the selected time slot. The exact flight time will be communicated the day before the scheduled date of the experience.
5.4. Once the ticket(s) has/have been purchased, it/they will not be exchanged or refunded, except as established in section 5.8.
The inability of the PURCHASER to attend the scheduled Barça Sky Tour, for reasons beyond the control of FC BARCELONA, SKYTOURBCN and/or any error made during the purchase, will not be valid grounds for requesting a refund of the ticket price.
5.5. A minimum of 4 passengers is required to confirm a flight. If you wish to book for 1-3 people, FC BARCELONA and/or SKYTOURBCN will try to find the rest of the passengers in order to reach the minimum of 4.
To book a private flight, you must contact the reservations department reservestourmuseu@fcbarcelona.cat, where you will be provided with complete information.
5.6. In order to comply with the strictest safety measures, it is essential to know the exact weight of each passenger, both for technical and safety reasons, as well as to ensure the helicopter's stability.
Persons weighing more than 110 kilos must pay the amount corresponding to two seats on the flight. The maximum flying weight is 180 kilos.
5.7. Liability disclaimer
The Barça Sky Tour product is operated by Sistemas Aéreos Especializados SL (hereinafter, "SKYTOURBCN"), with Tax ID B-67675744 and address at Aeroport de Sabadell - Hangar 11B - 08025 Sabadell (Barcelona).
SKYTOURBCN is the only company with the necessary permits to operate sightseeing flights within the city. It is recognized by AESA, the Spanish State Agency for Aviation Safety, and is ISO 9001 certified in quality management systems.
Therefore, FC Barcelona wishes to expressly state for the record that it will not be held liable to the PURCHASER for:
- Delays or errors committed by the PURCHASER in reaching the event meeting point at the date and time specifically chosen from the available options.
- Cases in which SKYTOURBCN denies the PURCHASER access to the event when the PURCHASER does not have the corresponding printed voucher and/or the voucher downloaded on their cell phone.
- Cases where SKYTOURBCN denies the PURCHASER access to the event when the PURCHASER does not have the required documentation, such as ID card or passport.
- Any damages that the PURCHASER may suffer during transfers and/or the flight, which in all cases shall be the responsibility of SKYTOURBCN.
- Cancellation for any reason beyond FC BARCELONA's control, in accordance with the following point.
- The missing of flights, trains, buses or any other means of transportation, as a consequence of the duration of the event being extended for any reason. The PURCHASER is solely responsible for knowing the departure time of his/her flight/train/bus and ensuring it aligns with the event schedule provided.
5.8. Cancellation
It is possible that, due to adverse weather conditions, especially low visibility and high winds, SKYTOURBCN may be forced to cancel flights.
FC Barcelona also reserves the right to cancel the experience for technical, administrative or meteorological reasons, or due to air restrictions, when indicated by SKYTOURBCN.
In any of these cases, the PURCHASER will be offered the option to reschedule the date or time or receive a full refund of the price paid.
5.9. Rules of conduct
Under all circumstances, the rules of conduct detailed in Section 7 of these General Conditions will apply to this product.
6. RULES OF CONDUCT AND ACCESS CONDITIONS FOR THE BARÇA SKYTOUR PRODUCT.
A) It is mandatory to arrive at the Bus Nàutic (Muelle de Drassanes) in Barcelona 15 minutes before the time selected in the purchase process.
B) It is mandatory to check-in and weigh yourself on a scale that will only be seen by the SKYTOURBCN team in order to respect privacy.
C) It is mandatory to show the reservation voucher, either on paper or on the cell phone, along with a physical identification document, such as an ID card or passport.
D) It is mandatory to pass through the metal detector before boarding the helicopter.
E) It is mandatory to follow the safety instructions of the SKYTOURBCN team and to comply with all flight rules at all times.
F) For safety reasons, no wallets, scarves, hats or camera sticks may be taken on flights.
G) Airplane mode on all electronic devices must be activated.
H) For safety reasons and to ensure the stability of the helicopter, it is not possible to choose a seat. The personnel tasked with providing information about the safety measures on board will indicate in the boarding area where you should sit according to your weight, always under the supervision of the pilot. This also applies to private flights where only one person is traveling or the maximum capacity is not reached.
I) This product can be enjoyed from the age of two, with no maximum age limit. However, children up to the age of three must fly seated next to their parents or legal guardians.
J) Persons who are over two metres tall are not allowed to board the helicopter for safety reasons and to ensure flight stability.
K) SKYTOURBCN facilities are fully adapted for people with reduced mobility. However, we request that this circumstance be communicated at the time of booking in order to make the necessary arrangements, to the extent possible.
7. RULES OF CONDUCT AND CONDITIONS OF ACCESS TO THE FC BARCELONA FACILITIES AFTER ENTERING THE MUSEUM AND AFTER THE FLIGHT HAS ENDED
A) FC Barcelona reserves the right to refuse admission at all times.
B) Smoking and consumption of food or beverages inside the facility is not permitted.
C) FC Barcelona may deny access or expel the ticket holder from the premises in the event of non-compliance with these conditions or in the event of disregarding the instructions given by the Club's staff.
D) Any attempt to defraud, steal or thieve, as well as any case of damage to private property caused directly or indirectly to FC Barcelona's facilities will give the Club grounds to adopt the measures and initiate the legal actions it deems appropriate against the perpetrators.
E) When purchasing tickets at reduced rates, it will be necessary to present the document/card that confirms access with this rate at the access control point of the facility.
F) Children under 14 years of age must be accompanied by an adult at all times, both during visits to the Museum and in any other FC BARCELONA facility.
8. PRICES AND RATES
8.1 The price of the tickets listed on the website or in the app includes VAT and will be the price indicated on the website or app order page when you make the purchase. We accept payments through Visa, MasterCard, American Express and any other payment method indicated on the Website and/or App. You must always pay for your tickets before they are delivered to you. We make every effort to ensure that the price of tickets that appears on both the Web and the App is correct. If we find an error in the price of your order, we will contact you with the option to reconfirm your order, correct the price, or cancel your order. We will issue the refund using the payment method used to place the order as appropriate. If we are unable to reach you, you agree that we may consider your order cancelled. If you need a VAT invoice for the Purchase made, you must contact FC BARCELONA at the address provided in the first section of these purchase conditions.
8.2 Right of withdrawal
No exchanges or returns of tickets will be allowed, except as provided in section 3. A. In this regard, the PURCHASER (even as a consumer of the European Union, Norway, Liechtenstein or Iceland) may not exercise the right of withdrawal or termination provided for both in EU Directive 2011/83 and in Article 103 of Law 3/2014, of 27 March, amending the consolidated text of the General Law for the Defence of Consumers and Users and other supplementary laws, approved by Royal Legislative Decree 1/2007, of 16 November, when the exercise thereof is excluded in the sale related to access to Museums.
8.3. FC BARCELONA informs the BUYER that €0.50 + VAT of the price of each ticket will be allocated to the development of its sustainability programmes, in accordance with the 2021-2026 Strategic Plan, which includes sustainability understood for different areas (economic and governance, sport, social, and environmental) as one of its three pillars. This amount, which FC BARCELONA voluntarily allocates to these projects, does not entail any additional charge for the BUYER.
9. RULES ON BEHAVIOUR AND CONDITIONS OF ACCESS IN FC BARCELONA FACILITIES.
A) FC BARCELONA always reserves the right of admission.
B) Smoking or consuming food or beverages is not allowed inside the facility.
C) FC BARCELONA may deny access or expel the ticket holder from the premises in the event of non-compliance with these conditions or in the event of neglecting instructions made by the Club’s staff.
D) Any attempt at scams, robberies, thefts, as well as damages to private property caused directly or indirectly to the facilities of FC Barcelona will authorise the Club to adopt the measures and initiate the legal actions it deems appropriate against the responsible parties. E) In the event of purchasing tickets with reduced rates, it will be necessary to present the document/member card that proves eligibility to this rate at the Access Control point of the premises.
10. ON THE USE OF PURCHASED TICKETS.
A) The ticket(s) to attend the Tour of the FC Barcelona facilities (both the Immersive Tour and the Ciutat Esportiva Tour or Match Day Tour Estadi Olímpic) are equipped with different security elements to ensure their validity and authenticity. FC BARCELONA is not responsible for ticket(s) that have not been purchased at official points of sale or through authorised agents or those that have not been printed directly by the PURCHASER through this website. Any damaged, broken, or counterfeit ticket will authorise FC BARCELONA to prevent its bearer from accessing the premises. In case of falsifications, FC BARCELONA reserves the right to adopt the corresponding legal measures.
The ticket(s) acquired by this means must be safeguarded as if they were cash until the day of the visit. The PURCHASER of the ticket or the person named on the customised ticket assumes all responsibility in case of duplication, photocopying or counterfeiting of the same, losing all the rights that it grants to be able to access the premises.
B) FC Barcelona is not responsible for any loss or theft of tickets, nor of any personal belongings.
C) The purchase of tickets does not grant the PURCHASER the right to use it or its content for advertising, marketing, or promotional purposes (including contests, gifts and/or lotteries), if it is not with the express written consent of FC BARCELONA. Failure to comply with this prohibition will legitimise FC BARCELONA for the disuse of the ticket(s) and to take as many legal actions as it deems appropriate to claim the damages and losses that such behaviour may have caused to FC BARCELONA.
11. IMAGE AND INTELLECTUAL PROPERTY RIGHTS
11.1 Image rights
FC Barcelona informs the buyer that, during their visit to the Museum, the Ciutat Esportiva Joan Gamper, the Match Day Tour Estadi Olímpic as well as other FC Barcelona facilities, it may carry out its own commercial activities that may involve the recording of images on the premises and, consequently, this may involve the incidental capture of the buyer's image during said activities.
By purchasing this/these ticket(s), the purchaser consents to and accepts the fact that their image may be captured in a manner by FC BARCELONA, and/or third parties authorised by it, in the development of said activities, as well as allowing it to be used, as part of the content recorded in each case, through their disclosure and communication through any means, channel, support or format, in any territory and for an indefinite period, either directly or through third parties authorised by FC BARCELONA.
12. DATA PROTECTION

13. CHANGES TO CONDITIONS

14.SUSPECTED FRAUD
We have the right to delete or revoke your tickets and fully reimburse the holder of the card used for payment if your Purchase is suspected to be fraudulent and/or if we have reason to suspect that your tickets were Purchased with a stolen card (‘Suspected Fraud’).
Where the above paragraph applies, we are not required to notify you of the deletion, revocation or refund, or to provide you with any details of the alleged fraud. This is to ensure that those who commit fraud are not alerted to investigative methods.

15. APPLICABLE LEGISLATION AND JURISDICTION
Applicable Catalan, Spanish and international legislation is applicable to the purchase and sale of tickets made through this website.
In the event that any conflict or disagreement arises in the interpretation or application of these legal terms and conditions, the courts or tribunals that, where appropriate, are aware of the matter, will be those that provide for the applicable legal regulations in matters of the competent jurisdiction, in which they are dealing with end consumers, the place of compliance with the obligation or the domicile of the purchasing party.
